Wholesale & Retail Clients

Understanding Client Classification Obligations

The distinction between wholesale and retail clients is one of the most important classifications in Australian financial services regulation. Client classification determines the regulatory obligations that apply to financial products and advice, including disclosure requirements, conduct obligations, access to compensation arrangements and other consumer protections.

While wholesale client status can reduce certain compliance obligations, it does not remove the need for sound governance, appropriate recordkeeping and careful risk management. Misclassifying a client can expose advisers and licensees to significant compliance risks, regulatory scrutiny and disputes about the services provided or protections available.

Regulators continue to focus on the proper application of wholesale client tests and the evidence used to support classification decisions. Financial services businesses must ensure they understand the relevant legal tests, maintain appropriate documentation and regularly review client circumstances where classification may change over time.

This resource hub explores wholesale and retail client classification, regulatory obligations, disclosure requirements, recordkeeping expectations and the risks associated with client categorisation. These resources provide practical guidance to help advisers and licensees apply classification rules correctly and manage the compliance risks that arise from client status determinations.
