What requirements must an applicant satisfy to obtain an Australian Financial Services Licence?

ASIC grants an Australian Financial Services Licence (AFSL) only if the applicant demonstrates it can comply with the obligations of an AFS licensee. Applicants must demonstrate appropriate organisational competence, financial resources, risk management and compliance arrangements, and governance adequate for the financial services they intend to provide.

An AFSL applicant must satisfy ASIC that it is capable of providing the proposed financial services efficiently, honestly and fairly and of meeting the ongoing obligations imposed by the Corporations Act. ASIC assesses the applicant’s organisational competence, financial and technological resources, compliance systems, risk management framework, dispute resolution arrangements where required, and the fitness and propriety of responsible people. The required standard depends on the nature, scale and complexity of the proposed financial services business.

The application should be supported by evidence rather than statements of intention. ASIC expects applicants to demonstrate that compliance systems, governance arrangements, training, monitoring processes and operational controls are already established or will be fully operational before licensed activities commence. Organisational competence extends beyond the appointment of responsible managers and should be reflected across the business’s governance and operational capability.

Applies when: an applicant seeks a new AFSL or an authorisation that expands the scope of an existing licence.

Assessment becomes more rigorous when: the proposed business involves higher-risk products, more complex financial services or broader licence authorisations.
